CONTRACT FOR WEBSITE DEVELOPMENT Scope of Work Project Overview Developer will design and develop a WordPress website for the Client, including SEO optimization, video uploads, video gallery, image gallery, and multiple service types rendered by the Client. Deliverables - Phase 1 (Design Phase) – 50% of total project scope: - Create and deliver a modern, responsive Figma design system and UI/UX mockups for all pages. - Interactive prototypes or annotated wireframes for user flows (e.g., homepage, services, gallery, blog, contact). - Conversion-focused design elements and SEO-ready HTML structure (as a basis for implementation). - Phase 2 (Go-Live Phase) – 50% of total project scope: - WordPress theme development/implementation matching the approved Phase 1 design. - Website setup on the Client’s hosting environment, including domain configuration. - SEO optimization setup (on-page SEO, metadata, sitemaps, robots.txt, canonical tags). - Video upload functionality and video gallery (both uploads and embeds as applicable). - Image gallery with responsive behavior. - Configuration of multiple service types rendered (e.g., service pages, pricing, booking/inquiry forms as applicable). - Customizations, plugins, and widgets agreed on by both parties. - Accessibility and compliance where feasible. - Quality assurance, debugging, and cross-browser testing. - Documentation for site maintenance and handover. In-Scope vs Out-of-Scope - In-Scope: All items listed above, including reasonable iterations within the defined scope. - Out-of-Scope: Any features not described above or requested after Phase 1/Phase 2 approval, and agreed by both Parties. Project Timeline - Phase 1 Start Date: 10/15/2025 - Phase 1 End Date (Delivery of Figma designs): 10/20/2025 - Phase 2 Start Date: 10/21/2025, upon Phase 1 approval or as mutually agreed - Phase 2 End Date (Go-Live): 10/25/2025 Fees and Payment Terms Fees - Total Project Fee: $1,000 - Phase 1 Fee: $500 (50% of Total). - Phase 2 Fee: $500 (50% of Total). Payment Schedule - Phase 1: 50% due upon delivery of Phase 1 milestones - Phase 2: 50% due upon Phase 2 milestones completion and after going live. Intellectual Property (IP) Rights Ownership - Upon full and final payment, Client shall own the final website design (graphics, layout, and content created by Developer for the project) and all non‑third‑party assets embedded or created by Developer for the Website, subject to the license terms of third‑party plugins and services used. - Developer will grant Client a perpetual, worldwide, non-exclusive license to use the code and assets created for the Website. Pre-Existing IP - Each Party retains ownership of its pre-existing intellectual property. Where applicable, Developer grants Client a non-exclusive license to any pre-existing Developer IP embedded in the Website solely for use in connection with the Website. Source Code - The final source code (excluding third-party assets and plugins with licenses) will be provided to Client upon final payment or as otherwise agreed, along with any necessary build instructions and documentation. Confidentiality - Each Party agrees to maintain the confidentiality of any confidential information exchanged in connection with the project. - The obligation survives the termination of this Contract. Warranties and Representations - Developer warrants that the work will be performed in a professional manner consistent with industry standards. Testing, Acceptance, and Change Management Testing - Both Parties will perform testing during Phase 2. QA will cover functionality, responsiveness, accessibility (where feasible), performance, and cross-browser compatibility. Hosting, Domain, and Third-Party Services Hosting - Hosting is provided by Client: Client will supply hosting details and access. Developer will deploy to the client's hosting environment per Phase 2 requirements. Domain - Client is responsible for domain ownership, DNS management, and renewal fees. Third-Party Services and Plugins - The Website may rely on WordPress core, plugins, themes, and services. Developer will use commercially licensed plugins where required. Client acknowledges that some plugins may operate under separate licenses and renewal fees. Data Handling and Privacy - The Parties will comply with applicable data protection laws. - Client data used by the Website will be stored and processed in accordance with the hosting environment and any stated privacy policy. Support and Maintenance - After Phase 2 go-live, ongoing maintenance and support will be provided by Developer for a period of 30 days. Data Protection and Security - Developer will implement industry-standard security practices for the Website. - Any data breach will be disclosed in accordance with applicable laws and regulations. Phase 1 – Design (Figma) - Create wireframes and visual designs for pages including: - Home - About - Services listing and individual Service detail pages - Video gallery page and individual video pages - Image/gallery pages - Blog or Resources - Contact - Any additional pages defined by Client - UI kit and design tokens (colors, typography, spacing) - Interactive prototypes Phase 2 – Go-Live (WordPress Implementation) - WordPress setup and configuration - Theme development or customization aligned with Phase 1 design - SEO optimization: - On-page optimization for core pages - Meta titles/descriptions - XML sitemap generation and submission - Robots.txt, canonical URLs - Structured data where applicable (schema.org) - Media management: - Video uploads (admin interface, media library, and front-end display) - Video gallery with filters or categories if needed - Image gallery with lightbox/gallery layouts - Services rendering: - Service pages with content management - Pricing structures or service packages - Inquiry/Booking forms as required - Plugins and integrations: - Recommended plugins for forms, SEO, caching, security - Custom post types if needed for services - Content migration or placeholder content as agreed - Basic analytics integration (e.g., Google Analytics) Hosting Details - Hosting Provider: GoDaddy (or whatever is agreed on by both Parties). - Server Type: [Shared/VPS/Managed WordPress] - Environment: Staging and Production - Uptime SLA: Whatever is agreed on by both Parties - Backup: Whatever is agreed on by both Parties - Security: Firewall, malware scanning, etc. Maintenance and Support - Response Time: 2 hours for critical issues, 24 hours for normal issues - Maintenance Window: 30 post Phase 2 go-live, and a separate agreement, if needed, after 30 days. - Scope: Software updates, plugin updates, minor content edits, security patches
