We are launching an Equities Fund structured as a U.S. private investment vehicle. We have strong drafts for all core fund documents, professionally refined and roughly 90%+ completed. We are looking for an attorney who can review, refine, align, and finalize our LPA, PPM, Operating Agreement, Subscription Agreement, and related documents to the formatting, structure, and drafting conventions commonly used by top institutional fund counsel (e.g., Kirkland & Ellis, Schulte Roth & Zabel, Seward & Kissel, Sidley, Ropes & Gray, etc.). We will begin with the LPA. What We Have Now: - Attached Professionally refined draft LPA (over 90% completed) We need a U.S.-licensed attorney with demonstrable expertise in: - Private fund formation (hedge funds, equity funds) - SEC regulations, including the Advisers Act, Reg D, and relevant exemptions - Institutional LP requirements - LPA, PPM/Offering Memo, Subscription Agreements, and Side Letter negotiation - Marketing/Investor deck compliance language - Best practices used by established funds ($100M+ AUM) Ideal Candidate: - U.S.-licensed attorney (NY, DE, CA, FL, or similar preferred) - 5+ years at a fund formation practice, BigLaw, or boutique investment funds firm - Ability to turn around documents quickly and with minimal back-and-forth Please include: - Your relevant experience - Example fund structures you’ve worked on - Estimated timeline for the project We value precision, clarity, and a true institutional tone. If work product is excellent we would intend to continue working with you immediately on other tasks such as - Private Placement Memorandum (PPM) - full review, redlining, and refinement - Subscription Agreement - full review, redlining, and refinement, Side Letter templates (1–3) - full review, redlining, and refinement - Operating Agreement - full review, redlining, and refinement and compliance review of the investor presentation deck - full review, redlining, and refinement - Everything else including advisor registration, Form ADV, blue sky filings, ongoing compliance, and more
