About the Role I am an entrepreneur through acquisition (ETA) seeking to acquire and operate a small-to-mid-sized business in the logistics, warehousing, distribution, and manufacturing sectors. To support my acquisition search, I am hiring a financial analyst to create robust 3-statement financial models, advanced M&A / LBO templates, and deal structure simulations. The initial engagement will be project-based, but ongoing work is possible if results are accurate, timely, and strategically insightful. Responsibilities • Build a 3-statement financial model template (income statement, balance sheet, cash flow) tailored to SMB acquisitions. • Ability to develop advanced M&A and LBO models from scratch suitable for evaluating $3M–$20M revenue, $500K–$2M EBITDA businesses. • Incorporate complex deal structures (earnouts, seller financing, forgivable notes, rollover equity, mezzanine debt). • Model SBA loan terms and covenants, sensitivity tables, and scenario analysis. • Provide strategic interpretation of outputs: explain how assumptions (growth, margins, leverage, exit multiples) impact returns, covenants, and enterprise value. • Support due diligence by highlighting risks, working capital considerations, and A/R/cash conversion issues common in logistics, warehousing, and manufacturing. • Provide consulting-style deliverables: Risks to flag in diligence, Strategic implications of deal structures, Questions to ask sellers, brokers, and lenders, Deliver editable Excel models and clear documentation. Qualifications • Proven experience in financial modeling, M&A advisory, private equity, investment banking, or corporate development. • Ability to build models from scratch (not just modify templates), incorporating complex waterfalls and tax scenarios. • Deep understanding of deal structuring for SMBs, including seller financing and SBA loan mechanics. • Sector knowledge in logistics, distribution, warehousing, or manufacturing strongly preferred. • Strong communication skills: able to explain assumptions and trade-offs clearly, not just provide spreadsheets. • Familiarity with ETA search fund or independent sponsor modeling a plus. Deliverables • A universal 3-statement SMB acquisition model with driver-based assumptions with linked balance sheet, income statement and cash flow projections over 15 years. • An advanced LBO / M&A template for scenario analysis. • Guidance memo with interpretation of outputs and diligence questions to ask based on model insights. • (Optional ongoing) – Deal-by-deal modeling support, strategy feedback, and scenario consulting. Application Requirements • Submit at least one sample financial model (with dummy data if necessary) showcasing: Full 3-statement integration, Debt schedules, Sensitivity/scenario analysis, etc. • Provide a brief write-up or memo from prior consulting/analysis that shows your ability to connect the numbers to business strategy and risk analysis. Engagement Terms • Initial project: Build core 3-statement + M&A/LBO templates. • Ongoing work: Additional deal-specific modeling on a project basis. • Compensation: Open to hourly or fixed-fee arrangements, based on experience and scope.
