POSITION SUMMARY: The Corporate Counsel will work closely with and support General Counsel to provide strategic legal guidance and proactive support across a broad range of legal and compliance matters. This role is responsible for drafting and negotiating contracts, advising on compliance and risk, supporting litigation, and helping to develop and implement company policies, procedures, and training. The Corporate Counsel serves as a trusted advisor to business leaders, offering practical legal solutions that balance risk with business objectives and ensuring consistency with applicable laws and regulations. ESSENTIAL JOB FUNCTIONS Demonstrate leadership by championing Lozier’s Mission, Vision, and Values and living the Lozier Leadership Model. Draft, review, and negotiate contracts, including customer, consulting, and vendor agreements. Provide legal counsel on compliance with laws and regulations affecting the business through direct research, analysis, and partnership with business stakeholders. Conduct proactive risk assessments related to day-to-day business operations and identify effective mitigation strategies. Draft, review, and update policies, procedures, and employee handbooks to ensure compliance with applicable laws and regulations. Support company policy development and implementation across departments. Develop and deliver legal training programs to employees and leaders. Stay current on laws, regulations, and emerging legal trends relevant to the company’s operations. Assist with litigation management, including implementing legal holds, gathering information and documents for discovery, and coordinating with outside counsel. Support administration of legal operations, including tracking deadlines, maintaining organized records, and reporting on department activities. Assist in developing and improving legal operations processes and documentation. Demonstrate regular attendance and timeliness in reporting to work, meetings, and completing assignments. Ability to work and interact well with others. OTHER JOB FUNCTIONS Standardize contracts, compliance procedures, or policy language across organization. Review insurance coverage, assist with claims, and liaise with brokers or risk management functions. Support internal investigations into employee conduct, compliance matters, or potential legal violations. JOB QUALIFICATIONS Education: Juris Doctor (JD) from an accredited law school and licensed to practice law in Nebraska or eligible for prompt in-house counsel license. Experience: Minimum of 5 years of legal experience including experience in employment law, commercial transactions, or commercial litigation. Required Skills: Basic PC skills (Microsoft Excel, Work, Outlook). Strong understanding of key legal provisions in commercial agreements. Strong legal judgment with a practical, business-oriented approach. Ability to identify and convey legal risk and consider multiple paths to compliance or risk mitigation, as well as the ability to identify risks to practical application of contractual provisions, compliance processes, or proposed risk-mitigation. Excellent communication, organizational, and interpersonal skills. Meticulous attention to detail in drafting, reviewing, and managing documents. Ability to manage multiple priorities and work independently in a fast-paced environment with minimal supervision/guidance. Ability to quickly learn key concepts in unfamiliar areas of the law and to develop deeper understanding of multiple areas as required. Preferred Skills: Deep knowledge of employment law and/or contracts and commercial transactions. Understanding of privacy/breach, manufacturing-relevant environmental or safety compliance laws, or other relevant compliance-oriented laws. Experience with corporate compliance management. Bilingual or multilingual abilities. Experience developing and delivering training programs. SPECIAL DEMANDS Must demonstrate adaptability and responsiveness to off-schedule requests or emergencies in support of business-critical functions. Prolonged periods of sitting and computer use.
