Objective: To provide comprehensive legal review, due diligence, and negotiation support on behalf of the Buyer through closing. Transaction Type: Small Business Acquisition (Stock Purchase): IT Hardware Reseller Transaction Value: $1,500,000 - $1,700,000 Financing Structure: Owner Equity (10%), SBA Loan 90% (Earn out/Seller Financing possible) Deliverables: Review of corporate, contractual, and legal matters; preparation and negotiation of all transaction documents; representation in discussions with Seller and Seller’s counsel. Engagement Period: Approximately 6–8 weeks, subject to transaction complexity and document turnaround times. Primary Outputs: - Legal Due Diligence Report - Negotiated and Executed Transaction Agreements - Closing Binder and Post-Close Legal Checklist Stage 1 – Retainer & Initial Diligence - Amount: $ (to be confirmed) - Purpose: Initiate engagement, perform preliminary document review, and conduct corporate and contract diligence. - Due: Upon execution of engagement agreement. Stage 2 – Drafting of Agreements - Scope: Preparation and delivery of draft agreements (APA/SPA, NDA, Non-Compete, Employment or Consulting Agreement, Promissory Note). - Amount: Fixed or capped fee ($ to be determined). - Due: Upon delivery of draft agreements to client for review. Stage 3 – Final Negotiations & Closing - Scope: Negotiate final redlines with Seller counsel, review closing conditions, and approve final documents. - Billing: Hourly rate (e.g., $350/hr) or as mutually agreed. - Due: Upon completion of negotiations and delivery of closing documents.
