We are evaluating an acquisition of a Mexico City–based business and need a senior-quality Quality of Earnings (QoE) analysis. Scope includes: • Reconstructing and analyzing the last 3 fiscal years (annual) • Building a monthly earnings bridge to derive LTM EBITDA and normalized earnings • Identifying normalizations (owner adjustments, related-party items, one-offs, accounting policies), working capital trends, seasonality, and revenue quality What You’ll Produce 1. QoE Report (English) with executive summary, methodology, findings, and clear schedules. 2. 3-Year Annual Analysis: revenue/COGS/GP/OpEx, EBITDA, normalizations with support. 3. Monthly LTM Model: monthly P&L, adjustments, LTM roll-forward, and variance analysis. 4. Net Working Capital (NWC) Analysis: monthly trend, seasonality. 5. Quality of Revenue: concentration, churn/retention (if applicable), contract review highlights. 6. Data Book / Tie-outs: TB ↔ GL ↔ bank statements ↔ CFDI (invoices) tie-outs where feasible. 7. Tax/Compliance sanity checks (non-opinion): SAT filings rhythm, VAT (IVA) mechanics, payroll/PTU, related-party, FX policy; flag issues for formal tax counsel if found. Languages • Spanish (professional): to review source docs, speak with management/accounting. • English (professional): written report + calls. Preferred Experience • Big 4 / TAS / Transaction Services (KPMG/EY/Deloitte/PwC) or top-tier boutique QoE. • Deals in Mexico: familiarity with NIF (Normas de Información Financiera), IFRS mapping, SAT/CFDI, VAT (IVA), ISR, IMSS, PTU, FX exposures, and inflation considerations (INPC). • Proven ability to build clean, auditable workpapers and defend adjustments. Independence & Confidentiality • Must be conflict-free; willing to sign NDA and independence statement. Engagement Structure & Deliverables (Milestones) 1. Kickoff & Data Request (Checklist issued; confirm availability) 2. Trial Balance Tie-Out & Variance Walkthrough (first findings deck) 3. 3-Year Annual QoE Schedules + Draft Normalizations 4. Monthly LTM Model + NWC Analysis 5. Draft QoE Report (management Q&A) 6. Final Report + Workbook (Excel) and live read-out Timeline: 2–4 weeks is typical for this scope with timely data access. Budget: Fixed-fee with milestones (please quote). Location: Mexico (preferred) or LATAM; must be comfortable working MX business hours for management Q&A.
